VibeTribe Points Terms of Use
These are the terms of use (the “Terms of Use”) governing the VibeTribe Points Program, a program for rewarding members of the VibeTribe who go above and beyond the call of duty. These Terms of Use constitute a binding agreement between Vibes Holdings LLC (“Vibes,” “we,” “us” or “our”) and those of its independent contractors who participate in the VibeTribe Points Program (“you” or “your”). Please note that these Terms of Use are regularly updated; if you have not reviewed the Terms of Use since the “Last Updated” date set forth above, you should do so to ensure that you are familiar with the current Terms of Use. Your privacy, and your use of the Vibes website for matters unrelated to your participation in the VibeTribe Points Program, are governed by Vibes’ privacy policy accessed at https://vibespapers.com/pages/privacy-policy and its general terms of use accessed at https://vibespapers.com/pages/terms-of-use ; provided, however, that to the extent of any conflict between these Terms of Use and Vibes’ privacy policy and general terms of use, these Terms of Use will apply.
Changes. We may make changes to the VibeTribe Points Program, and we may add to and/or change these Terms of Use at any time. Among other changes, we may: (i) change the number of VibeTribe points you can earn for eligible purchases, (ii) change the number of points required to redeem particular rewards, (iii) cancel rewards and/or the VibeTribe Points Program, or (iv) such other changes as we consider necessary or appropriate in the course of the conduct of our business. If we cancel the VibeTribe Points Program, we’ll notify you at least [90] days in advance so that you have an opportunity to redeem points prior to cancellation.
Eligibility and Enrollment. To participate in the VibeTribe Points Program and to have an account (a “VibeTribe Account”), you must have a written independent contractor agreement with Vibes Holdings LLC that has not expired or been terminated. You can set-up your Vibetribe Account at any time at https://vibespapers.com/account/register .
Earning and Redeeming VibeTribe Points. Ordinarily, VibeTribe points you earn will be posted to your VibeTribe Account and available for redemption within 15 days of the date on which your eligibility for those points has been confirmed. Vibes retains the right to employ any means it considers appropriate to confirm VibeTribe points earned by you before they are credited to your VibeTribe Account, the most common means Vibes currently uses to confirm VibeTribe points are explained at https://vibespapers.com/pages/vibetribehub . You can redeem points at any time by accessing the VibeTribe Reward Store at https://vibespapers.com/pages/vibetribe-hub-redeem-points . When you use points to redeem for rewards, you release Vibes and its affiliates from liability for your use of points, for the reward and how you use it, and for your participation in the VibeTribe Points Program. You acknowledge and agree that you can't use points, and we may cancel your VibeTribe Account, if your status as an independent contractor of Vibes expires or is terminated for any reason. You are responsible for federal, state or local taxes that may apply to earning or using VibeTribe points. Keep in mind that points, or the value of rewards redeemed using your points, may be considered taxable income to you, so you should consult your tax advisor if you have questions about the tax treatment of VibeTribe points and any rewards you redeem using those points. Points are not transferable, nor can they be sold or assigned to some else through a legal proceeding such as inheritance or divorce. The value of your VibeTribe points will vary depending on the rewards you redeem. All redemptions are final. You cannot return a reward for which you have redeemed VibeTribe Points unless there is a defect in the product. If there is a defect in a product, we will replace the defective product, but we will not credit back to you and VibeTribe points used to redeem your reward. Misuse. If Vibes determines that you have been credited with VibeTribe points, or have attempted to obtain VibeTribe points, by intentionally providing Vibes with false information or other unauthorized means we may: (i) temporarily suspend your ability to earn or use VibeTribe points, (ii) void VibeTribe points credited to your VibeTribe account (which may result in a negative VibeTribe points balance on your VibeTribe Account), (iii) cancel a pending redemption of VibeTribe points initiated by you, and (iii) where your conduct is determined to be intentional or otherwise particularly egregious at Vibes’ sole discretion, cancel your VibeTribe Account and bar you from further participation in the VibeTribe Points Program. If you have a negative balance in your VibeTribe Account, any points you subsequently get will be applied first to reduce the negative balance. You will not be able to use points to redeem rewards until your balance becomes positive.
Arbitration. If you believe you have not received VibeTribe points to which you are entitled or have not been allowed to redeem VibeTribe points for rewards to which you are entitled, or that we have otherwise violated these Terms of use, please contact us at [insert link]. In the unlikely event we are unable to resolve your complaint to your satisfaction, you agree that your dispute (a “Claim”) will be resolved by binding arbitration. The term Claim includes any dispute relating to your participation in the VibeTribe Points Program, your rights under these Terms of Use and any products you received by redeeming VibeTribe Points. You may not sell, assign or otherwise transfer a Claim. You or we may elect to resolve any Claim by binding arbitration. If arbitration is chosen by any party, neither you nor we will have the right to litigate that Claim in court or have a jury trial on that Claim. Before initiating arbitration, you and we agree to send a written notice to each party against whom a Claim is asserted, and to send a copy to the organization that will oversee the arbitration; the Claim notice must include a brief description of the nature of the Claim and a specific dollar amount for damages. Claims can be referred to either JAMS (www.jamsadr.com) or the American Arbitration Association (www.adr.org), commonly known as AAA; no other organization has authority to arbitrate a Claim. We will send a Claim notice to you at the address we have on file for you. If you send us a Claim notice, it must be sent to 1005 Lake Ave, #103, Lake Worth Beach, FL 33460. An arbitration award and any judgment confirming it will apply only to the specific case and cannot be used in any other case except to enforce the award. The arbitrator's decision will be final and binding. Claims will be resolved pursuant to this arbitration provision and the selected organization's rules in effect when the Claim is filed, except where those rules conflict with these Terms of Use. We recommend you contact JAMS or AAA to begin an arbitration or for other information. Claims cannot be arbitrated on a class action basis, nor can a Claim be brought on behalf of someone else or the general public. The law governing any Claim will be the law of the State of New York, and the place where any arbitration proceeding will take place is the County of New York, in the State of New York. The arbitrator may only award monetary damages; the arbitrator does not have the power or authority to award equitable or other non-monetary relief, nor does the arbitrator have the power to award consequential, punitive or other speculative monetary damages. The arbitration and any award resulting from the arbitration will be confidential, except that (i) either party may file the arbitration award with a court of competent jurisdiction in connection with an effort to enforce the arbitration award so long as such filing is made under seal or otherwise treated confidentially by such court, and (ii) any party may notify a government authority of the Claim as required by law. At any party's request, the arbitrator will provide a brief written explanation of the award. The arbitrator's award will be final and binding, subject to each party's right to appeal as permitted by applicable law. Judgment upon any award may be entered in any court having jurisdiction. You will be responsible for paying your share of any arbitration fees (including filing, administrative, hearing or other fees). This section will survive termination of the VibeTribe Point program or your participation in it.
